Why Regulatory Reporting Shouldn’t Be Separate from the Deal Room

In most securitisation transactions, regulatory reporting is carried out separately from transaction management. Deal documents are held in a data room, while reporting is handled through a sequence of additional tools: naming conventions, archive files, a conversion portal and a repository upload. Each transfer between systems requires staff time, and each manual step introduces operational risk that often becomes visible only when a submission fails.

DealDox® consolidates both functions in a single product. DealDox is the virtual data room of European DataWarehouse, the securitisation repository supervised by both ESMA and the FCA. For EDITOR users familiar with the established conversion and upload workflow, the integrated process is ten to twenty times faster, and the reduction in manual transfers lowers the scope for error accordingly. The framework rests on three elements:

  1. All deal documents are held in one place.
  2. Access is granted with granular control, so the right documents reach the right people.
  3. Once the deal is set up, the regulatory reporting module pushes the selected data and documents for regulatory compliance directly into the repository platform.

These elements are set out below.

Creating a connected transaction environment

A key element of any transaction management framework is information centralisation. The prospectus, written confirmations and investor materials, among others, are held in DealDox, supported by a full-fledged Office and PDF suite. Documents are therefore drafted, reviewed and finalised on the same platform on which they are shared with stakeholders, and a single authoritative version is maintained throughout the transaction. Each data room is organised into dedicated Spaces, including the Deal Room for due-diligence materials, Staging for internal preparation, and purpose-built compliance spaces, each with its own folders, files and permissions.

Exposing the right documents to the relevant stakeholders is equally critical. DealDox provides permissions at both group and user level, together with an administrator role for monitoring data room access and activity. Where recipients should consult documents without retaining them, Secure View presents each document in its original format while downloading, printing and editing remain disabled, and every document viewed is automatically watermarked with the viewer’s email address and a timestamp. Detailed record keeping completes the environment: audit trails capture every action in the data room, including changes to files, views, downloads and permission updates, in a log that can be filtered and exported. Requests from auditors or counterparties regarding access to specific documents can be answered from this log within minutes.

Bringing reporting into the workflow

Once the deal is set up, EU transparency requirements oblige the reporting entity to deliver data to the repository in the prescribed format. This stage accounts for the largest share of the time savings. The Sec.Reg Reporting module, which resides in the room’s dedicated SECR Reporting space, connects a DealDox room directly with the EDITOR platform: source CSVs are converted to XML, and for public deals both the XML files and the deal documents are pushed to EDITOR from within the room. Where a reporting entity wishes to keep the files on DealDox, the converted files are exposed only to the investors invited into the room, under the same granular permissions that govern every other document.

Source files are added by drag and drop. DealDox groups them automatically and validates each file, irrespective of how the files are named. Renaming, archiving under naming conventions and transferring outputs between a converter portal and the repository are no longer required. The module also indicates when required files are missing, such as the collateral files, before conversion is attempted, so that incomplete submissions are identified in minutes rather than after a rejection.

Four decisions then complete the reporting process: selection of the pool cut-off date, password protection of the XML files, choice of the conversion regime, ESMA or FCA, and the post-conversion action, conversion to XML or conversion and push to EDITOR in a single step. The entire reporting workflow is completed on one screen, within the same product that holds the deal.

Reporting documents to EDITOR

Data constitutes one half of the obligation; documentation is the other. The EU Securitisation Regulation requires that before pricing, all deal documents are made available in a designated securitisation repository, and that the written confirmation document is submitted periodically thereafter.

DealDox scans the room automatically and lists all eligible documents. Only eligible Word documents and PDFs are listed; other file types, such as images, are excluded by design. Each selected document is assigned its correct category. The categories follow the regulation, such as underlying exposures, investor reports, prospectus, written confirmations and others.

The documents are then pushed to EDITOR and appear in the repository within seconds, from the same room in which they were drafted, reviewed and finalised.

One product, three parts

The DealDox regulatory compliance framework can be summarised in three lines:

  1. Centralisation of all documents in DealDox.
  2. Granular control, so the right documents reach the right people.
  3. Once the deal is set up, the regulatory reporting module pushes whatever is relevant for regulatory compliance into the repository platform.

The result is a reporting process with fewer tools, fewer transfers and fewer sources of error, and a measurable reduction in the time required for each reporting cycle. When reporting forms part of the deal room rather than a separate workstream, compliance becomes a property of the transaction itself.
